These terms and conditions (these "Terms") apply to the purchase and sale of products and services through the Cleaning Day website, cleaningday.co (the "Site"). These Terms are subject to change by Cleaning Day ("Cleaning Day," "us," "we," or "our") without prior written notice at any time, in our sole discretion. The latest version of these Terms will be posted on this Site, and you should review these Terms before purchasing any product or service available through this Site. Your continued use of this Site after a posted change constitutes your acceptance of and agreement to such changes.

2. ORDER ACCEPTANCE AND CANCELLATION

You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us, or we will not be obligated to sell the products or services to you. We may choose not to accept any order at our sole discretion. After receiving your order, we will send you a confirmation email with your order number and details. Acceptance of your order and the formation of the contract of sale between Cleaning Day and you will not take place unless and until you have received your order confirmation email.

3. NO MEDICAL ADVICE; ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

The material on the Site is provided for general informational purposes only and is not intended as medical advice or as a substitute for advice from a qualified healthcare provider. Consult your healthcare provider before relying on any information provided by Cleaning Day, particularly if you have allergies, sensitivities, respiratory conditions, are pregnant or nursing, or have pets. We have made every effort to display product colors and images as accurately as possible, but we cannot guarantee that your device's display will be accurate. This Site may contain historical information, which is provided for reference only and is not necessarily current. We reserve the right to modify the contents of this Site at any time but have no obligation to update any information. It is your responsibility to monitor changes to our Site.

4. PRODUCT USE AND COMPATIBILITY

Our diffuser oils are formulated for use with cold-air (waterless) diffusers. They are not intended for use with ultrasonic or water-based diffusers, and such use may damage the device or produce unintended results. It is your responsibility to confirm your diffuser is compatible before use and to follow all product instructions and safety warnings on the label. Keep products away from children and pets, avoid contact with eyes and skin, and discontinue use if irritation occurs.

5. PRICES AND PAYMENT TERMS

(a) All prices posted on this Site are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases apply only to orders placed after the change. Posted prices do not include taxes or charges for shipping and handling, which will be added to your merchandise total and itemized in your cart and order confirmation email. We are not responsible for pricing, typographical, or other errors and reserve the right to cancel any orders arising from such errors.

(b) By submitting payment information, you represent and agree that: (i) you are authorized to use that card or account; (ii) all payment information is complete and accurate; (iii) you are responsible for any payment card fees; and (iv) sufficient funds exist to pay the amounts due. We and our third-party payment service providers may request and receive updated card information from your card issuer (such as updated numbers and expiration dates) and may update your account accordingly. Your card issuer may allow you to opt out of this updating service; to do so, contact your issuer. We are not responsible for fees your bank or issuer may apply. If your bank or issuer reverses a charge, we may bill you directly and seek payment by another method.

6. SUBSCRIPTIONS AND AUTOMATIC RENEWALS

If you sign up for a subscription, you will automatically be charged on a recurring basis using the payment method you provide, at the delivery cadence you select, until you cancel.

YOUR SUBSCRIPTION WILL CONTINUE UNTIL YOU CANCEL. IF YOU DO NOT CANCEL YOUR SUBSCRIPTION BEFORE YOUR NEXT SCHEDULED BILLING DATE, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AND PAYMENT WILL BE AUTOMATICALLY PROCESSED.

TO CANCEL, YOU MUST MANAGE YOUR SUBSCRIPTION THROUGH YOUR ACCOUNT AT ACCOUNT.CLEANINGDAY.CO OR CONTACT US AT SUPPORT@CLEANINGDAY.CO BEFORE YOUR NEXT SCHEDULED BILLING DATE. Cancellation requests received after your scheduled billing date will apply to the following subscription period. You are responsible for managing, modifying, or canceling your subscription before renewal, and failure to do so does not constitute grounds for a refund. We may refuse to renew any subscription at our sole discretion. Additional subscription terms are described in our Refund Policy.

7. SHIPMENTS; DELIVERY; TITLE AND RISK OF LOSS

(a) We will arrange for shipment of the products to you. Please review our Shipping Policy and the individual product page for delivery options. You will pay all shipping and handling charges specified during the ordering process.

(b) Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for delays in shipment, including delays caused by any current fulfillment backlog, carrier disruptions, weather, or customs processing.

8. REFUNDS AND RETURNS

Our Refund Policy, available at cleaningday.co/policies/refund-policy, governs all returns and refunds and is incorporated into these Terms by reference. To request a refund, you must email support@cleaningday.co within 30 days of receiving your order and, where required, return the product before a refund is processed. To prevent abuse, we reserve the right to refuse a refund request from any customer who exhibits a pattern of repetitive refunds, which we define as requesting more than two refunds within a 12-month period. Refunds are processed to the original payment method after our verification of any returned product.

9. ELECTRONIC COMMUNICATIONS

(a) You consent to receive electronic communications from Cleaning Day by email or by postings on the Site. You agree that any such communication satisfies any legal requirement that communication be in writing. The frequency of communications will vary based on your interactions with our products, marketing, and the Site.

(b) SMS / Text Messaging. By providing your telephone number under any SMS program and providing consent through the applicable opt-in mechanism, you consent to receive transactional, promotional, and marketing text messages from or on behalf of Cleaning Day. Message frequency may vary, and message and data rates may apply. Carriers are not liable for delayed or undelivered messages. We may share your data, including your opt-in status, with third parties that help us provide messaging services, solely to administer the program and in accordance with our Privacy Policy. You may withdraw consent at any time by replying "STOP" to any message, or through any other described opt-out mechanism. For support, reply "HELP" or contact us at support@cleaningday.co.

10. DISCLAIMER OF WARRANTIES

EXCEPT WHERE INAPPLICABLE OR PROHIBITED BY LAW, THE SITE AND THE PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CLEANING DAY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. LIMITATION OF LIABILITY

EXCEPT WHERE OTHERWISE INAPPLICABLE OR PROHIBITED BY LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES WILL CLEANING DAY, ITS OFFICERS, EMPLOYEES, DIRECTORS, SERVICE PROVIDERS, SUPPLIERS, AGENTS, OR OTHER REPRESENTATIVES BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, REGARDLESS OF HOW CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER FOR BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE AND STRICT LIABILITY), OR OTHERWISE, RESULTING FROM (1) THE USE OF, OR INABILITY TO USE, THE SITE; (2) THE USE OF, OR INABILITY TO USE, ITEMS PURCHASED ON THE SITE; OR (3) THE COST OF PROCUREMENT OF SUBSTITUTE SERVICES OR ITEMS. IN NO EVENT WILL CLEANING DAY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID CLEANING DAY IN THE LAST TWELVE (12) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OR LIMITS ON DISCLAIMING IMPLIED WARRANTIES. IF YOU ARE A CUSTOMER FROM SUCH A JURISDICTION, THE FOREGOING SECTIONS TITLED "DISCLAIMER OF WARRANTIES" AND "LIMITATION OF LIABILITY" ARE INTENDED TO BE ONLY AS BROAD AS PERMITTED UNDER THE LAWS OF YOUR JURISDICTION. IF YOU ARE DISSATISFIED WITH YOUR USE OF THIS SITE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

12. GOODS NOT FOR RESALE OR EXPORT

You represent and warrant that you are buying products or services from the Site for your own personal or household use only, and not for resale or export. You agree to comply with all applicable laws and regulations of any state and of the United States with respect to these products and services.

13. PRIVACY

Our Privacy Policy, cleaningday.co/policies/privacy-policy, governs the processing of all personal data collected from you in connection with your purchase of products or services through the Site.

14. FORCE MAJEURE

We will not be liable or responsible to you, nor be deemed to have defaulted or breached these Terms, for any failure or delay in our performance when and to the extent such failure or delay is caused by acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities, terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, pandemic, epidemic, lockouts, strikes or other labor disputes, supply chain disruptions, carrier delays, materials or telecommunications breakdown, or power outage.

15. GOVERNING LAW AND JURISDICTION

All matters arising out of or relating to these Terms are governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than those of the State of Delaware.

16. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

(a) YOU AGREE THAT ANY DISPUTE OR CLAIM ARISING FROM OR RELATING TO THIS ARBITRATION PROVISION, CLEANING DAY'S PRIVACY POLICY OR TERMS OF SALE, CLEANING DAY'S ADVERTISING OR MARKETING PRACTICES, OR CLEANING DAY'S PRODUCTS OR SERVICES SHALL BE SUBMITTED TO BINDING, FINAL, AND CONFIDENTIAL ARBITRATION BEFORE A SINGLE ARBITRATOR ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES. ANY IN-PERSON ARBITRATION HEARING SHALL TAKE PLACE IN THE COUNTY WHERE YOU RESIDE, OR, AT YOUR ELECTION, MAY BE CONDUCTED TELEPHONICALLY, BY VIDEOCONFERENCE, OR BASED SOLELY ON WRITTEN SUBMISSIONS. THIS ARBITRATION PROVISION IS GOVERNED BY THE FEDERAL ARBITRATION ACT ("FAA"), 9 U.S.C. §§ 1-16. THE ARBITRATOR HAS EXCLUSIVE AUTHORITY TO DETERMINE WHETHER A DISPUTE OR CLAIM IS ARBITRABLE, SHALL FOLLOW APPLICABLE SUBSTANTIVE LAW OF THE STATE OF DELAWARE TO THE EXTENT CONSISTENT WITH THE FAA, AND MAY AWARD ALL REMEDIES AVAILABLE IN AN INDIVIDUAL LAWSUIT. THE ARBITRATOR MAY ONLY RESOLVE DISPUTES BETWEEN YOU AND CLEANING DAY, MAY NOT CONSOLIDATE CLAIMS WITHOUT CLEANING DAY'S CONSENT, AND MAY NOT HEAR CLASS OR REPRESENTATIVE CLAIMS. IF A COURT OR ARBITRATOR DECIDES THAT ANY PART OF THIS AGREEMENT TO ARBITRATE CANNOT BE ENFORCED AS TO A PARTICULAR CLAIM OR REMEDY, THEN THAT CLAIM OR REMEDY (AND ONLY THAT CLAIM OR REMEDY) MUST BE BROUGHT IN COURT AND ANY OTHER CLAIMS MUST BE ARBITRATED.

(b) NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, YOU AGREE THAT CLEANING DAY HAS THE RIGHT TO BRING A CLAIM AGAINST YOU IN THE STATE OR FEDERAL COURTS IN DELAWARE FOR INJUNCTIVE OR EQUITABLE RELIEF ARISING FROM ANY POTENTIAL OR ACTUAL MISAPPROPRIATION OR INFRINGEMENT OF CLEANING DAY'S INTELLECTUAL PROPERTY RIGHTS, AND YOU AGREE THAT VENUE IS PROPER AND THAT YOU ARE SUBJECT TO PERSONAL JURISDICTION IN SUCH FORUM.

(c) UNLESS YOU TIMELY OPT OUT, YOU WILL NOT HAVE THE RIGHT TO: (A) HAVE A COURT OR JURY DECIDE YOUR DISPUTE OR CLAIM; (B) OBTAIN INFORMATION PRIOR TO THE HEARING TO THE SAME EXTENT AS IN COURT; (C) PARTICIPATE IN A CLASS ACTION IN COURT OR IN ARBITRATION; (D) ACT AS A PRIVATE ATTORNEY GENERAL; OR (E) JOIN OR CONSOLIDATE YOUR DISPUTE OR CLAIM WITH THAT OF ANY OTHER PERSON.

(d) YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS OF THE DATE YOU PURCHASED A PRODUCT OR SERVICE THROUGH CLEANING DAY'S SITE BY SENDING A LETTER TO: CLEANING DAY, ATTN: LEGAL DEPARTMENT, 16192 COASTAL HIGHWAY, LEWES, DE 19958, UNITED STATES, STATING YOUR NAME, THE PRODUCT YOU PURCHASED, AND YOUR INTENT TO OPT OUT OF ARBITRATION.

17. ASSIGNMENT

You will not assign any of your rights or delegate any of your obligations under these Terms without our prior written consent. Any purported assignment or delegation in violation of this Section is null and void. No assignment or delegation relieves you of any of your obligations under these Terms.

18. NO WAIVERS

Our failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. Any waiver will be effective only if in writing and signed by a duly authorized representative of Cleaning Day.

19. NO THIRD-PARTY BENEFICIARIES

These Terms do not and are not intended to confer any rights or remedies upon any person other than you.

20. NOTICES

(a) To You. We may provide notice to you under these Terms by (i) sending a message to the email address you provide or (ii) posting to the Site. Notices sent by email are effective when sent; notices provided by posting are effective upon posting. It is your responsibility to keep your email address current.

(b) To Us. To give us notice under these Terms, contact us by personal delivery, overnight courier, or registered or certified mail to 16192 Coastal Highway, Lewes, DE 19958, United States. We may update this address by posting a notice on the Site. Notices by personal delivery are effective immediately; by overnight courier, one business day after sending; by registered or certified mail, three business days after sending.

21. SEVERABILITY

If any provision of these Terms is invalid, illegal, void, or unenforceable, that provision will be deemed severed from these Terms and will not affect the validity or enforceability of the remaining provisions.

22. ENTIRE AGREEMENT

Our order confirmation, these Terms, our Shipping Policy, our Refund Policy, and our Privacy Policy will be deemed the final and integrated agreement between you and us on the matters contained in these Terms.
